U.S. presence for foreign businesses & professionals
If you live outside the United States and want to open a company, practice, office or investment here, you do not have to figure it out alone. We guide foreign business owners and professionals from the first idea to a compliant U.S. presence: the right structure, tax registrations, bookkeeping, payroll and the yearly filings foreign-owned businesses must make, in coordination with your immigration attorney and your bank.
How we can help
Choose the structure
LLC, C corporation, S corporation (limited for foreign owners) or a branch, compared for taxes, liability, funding and exit.
Form in the right state
We form your company in any state and arrange a registered agent, and advise whether to form where you operate or elsewhere.
EIN and ITIN
Your federal tax ID and, where it is needed, an Individual Taxpayer Identification Number.
Foreign-owned entity reporting
Form 5472 and a pro forma Form 1120 for foreign-owned U.S. companies, due every year with steep penalties for missing them.
Taxes on U.S. income
Effectively connected income, treaty benefits, branch profits tax, and when you become a U.S. tax resident.
Paying people abroad
Withholding and reporting on payments to foreign persons (Forms W-8, 1042 and 1042-S).
Real estate
Special rules for foreign owners of U.S. property, including FIRPTA withholding on sale.
Payroll and state registrations
Sales tax, payroll and state registrations, so you can hire and sell in the U.S.
Banking and bookkeeping
Documents banks ask for, a U.S.-style chart of accounts, monthly bookkeeping and tax-ready records.
Visa-related financials
Business plans, financial projections and tax records that support visa applications, prepared with your immigration attorney.
Foreign professionals and consultants
Doctors, engineers, IT professionals and consultants who earn U.S. income, including contractor and treaty questions.
Exit and repatriation
Planning for dividends, sales and moving profits home with the tax cost in view.
How it works
Plan
We learn about your business, your country, your funding and your visa plans, and map the structure and tax picture.
Set up
We form the company, obtain the tax IDs, register with the states, and set up bookkeeping and payroll.
Stay compliant
We file the yearly returns and reports, keep your books current, and flag changes before they cost you.
Common questions
Do I have to live in the U.S. to own a U.S. company?
No. Foreign individuals can own LLCs and corporations. Residency affects how you are taxed and which filings apply, and we explain it before you form.
How is a foreign-owned LLC taxed?
A single-member LLC owned by a foreign person is generally disregarded for income tax but still files Form 5472 with a pro forma Form 1120. Income from U.S. sources and income effectively connected with a U.S. business can be taxed in the U.S.
Can you help with my visa?
We are CPAs, not immigration attorneys. We prepare the financial and tax side and coordinate with your attorney on visas such as E-2, L-1 and others.
Can I open a U.S. bank account from abroad?
It depends on the bank. We prepare the company documents and tax IDs banks request, and can coordinate with banks that work with foreign owners.
